API Boutique Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the API Boutique platform ("Service"), provided by Automation Boutique B.V. ("we," "our," or "us"). By creating an account, connecting data sources, or using any part of the Service, you ("User") agree to these Terms in full.

1. Introduction

API Boutique is a software-as-a-service (SaaS) platform that enables companies to connect with financial data providers such as banks, accounting systems, and other platforms through premium and other APIs. It allows users to access real-time financial data, configure custom alerts, and export data into external tools such as Excel and Power BI.

2. Definitions

"User": Any individual or legal entity using the Service.

"Platform": The API Boutique user interface and supporting infrastructure.

"Connection": A secure link between API Boutique and a third-party provider, initiated and authorized by the User.

"Consent": The explicit permission granted by a User to a third-party provider to share data with API Boutique.

"Data Sources": Third-party providers including, but not limited to, banks, accounting platforms, and financial service APIs.

"External Tools": Applications such as Excel, Power BI, or a Treasury Management System (TMS) into which API Boutique exports data.

"Smart Notifications": Custom alerts configured by Users to notify them of specific data-driven events.

3. Account Registration and Access

To access the Service, Users must create an account and provide accurate, current, and complete information. Users are responsible for securing login credentials. Unauthorized use of another person's account is strictly prohibited.

In some cases, and only with the User's explicit agreement, Automation Boutique B.V. may assist with or perform account setup on the User's behalf. The User remains responsible for securing and updating access credentials once the account is active.

4. Establishing Connections

Users initiate and manage connections with supported third-party Data Sources. Connections require explicit consent, which is typically granted through the third-party provider's authorization flow. API Boutique does not establish or maintain any connections without this consent.

Users remain responsible for ensuring that their use of such third-party services complies with the relevant provider's terms of service.

5. Data Synchronization and Storage

Once a connection is authorized, API Boutique retrieves relevant financial data from the connected Data Source and stores it securely in the User's dedicated account environment. This may include, but is not limited to, balances, transactions, account metadata, and related records.

Users retain ownership of their data. By using the Service, Users grant Automation Boutique B.V. a limited license to process and store the data solely for the purpose of delivering the Service.

6. Use of External Tools

API Boutique allows Users to export and synchronize data into supported External Tools such as Excel (via the official API Boutique Excel Add-In) and Power BI. While we provide integration capabilities, Users are responsible for ensuring their environment is properly secured and that data use complies with any relevant privacy or compliance obligations.

Automation Boutique B.V. is not responsible for the behavior or limitations of third-party tools.

7. Smart Notifications

Users may configure Smart Notifications to receive automated alerts based on financial activity (e.g., incoming payments, low balances). These notifications are based on synchronized data and may be sent via email, in-app alerts, or other channels.

It is the User's responsibility to configure notification thresholds and channels appropriately. We do not guarantee delivery or timeliness of such alerts.

8. User Obligations

Users agree to:

  • Use the Service only for lawful business purposes;
  • Not attempt to access or modify another User's data;
  • Not reverse-engineer, decompile, or attempt to extract source code;
  • Ensure all data shared is lawful and not infringing on third-party rights;
  • Inform us of any suspected security breach immediately.

9. Indemnity

Users agree to indemnify and hold harmless Automation Boutique B.V., its officers, employees, and affiliates from any claims, liabilities, damages, or costs arising from:

  • Misuse of the Service;
  • Breach of these Terms;
  • Violation of any third-party terms;
  • Non-compliance with applicable laws or regulations.

10. Fees and Payment

The Service may be subject to subscription fees, usage-based charges, or enterprise agreements. Terms of billing, invoicing, and cancellation will be clearly stated during onboarding or in a signed contract. All fees exclude applicable taxes unless stated otherwise.

Late payments may result in service suspension until the balance is settled.

11. Privacy and Data Protection

Our use of personal and financial data is governed by our Privacy Policy, which is hereby incorporated by reference. We collect only the data necessary to operate the Service and never sell or share user data with third parties without consent, except as required by law.

Data is stored in secure environments compliant with applicable EU regulations. Users may request deletion or export of their data at any time.

12. Security

We take data security seriously and implement industry-standard practices to protect against unauthorized access, data loss, or tampering. This includes encrypted storage, role-based access controls, regular security reviews, and secure authentication protocols.

Users are responsible for ensuring that any data exported or shared via External Tools remains protected under their own security policies.

13. Service Levels and Availability

API Boutique aims to provide reliable service but does not guarantee uninterrupted availability. Some disruptions may result from issues beyond our control, particularly with third-party Data Sources (e.g., bank API outages, consent expiry).

In such cases, we will contact the relevant provider and make reasonable efforts to restore service. If an issue is within our infrastructure, we will resolve it as quickly as possible.

We may schedule maintenance periods from time to time and will notify Users in advance whenever possible.

14. Intellectual Property

All intellectual property rights related to the Platform, including software, content, and branding, remain the sole property of Automation Boutique B.V. Users receive a non-exclusive, non-transferable license to use the Service during the subscription period.

Users retain all rights to their own data.

15. Microsoft Excel Add-In

API Boutique will provide an official Microsoft Excel Add-In, available through the Microsoft Store, which enables Users to access synchronized data from their API Boutique account within Excel. By installing and using the Add-In, Users agree to these Terms and acknowledge that:

  • The Add-In functions as a data access extension;
  • The responsibility for managing and securing locally stored data rests with the User;
  • Automation Boutique B.V. is not liable for any misuse or unauthorized access on local systems.

16. Confidentiality

Both parties agree to keep any confidential information (including financial data, business processes, and technical details) secure and not to disclose it to third parties without explicit consent, unless required by law.

17. Termination

Users may terminate their subscription or account at any time via their dashboard or by contacting support. Automation Boutique B.V. may suspend or terminate access in cases of breach, abuse, or unpaid fees.

Upon termination, data will be retained for a period of 30 days unless otherwise required by law or requested by the User for earlier deletion.

18. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available." We make no warranties regarding uptime, data accuracy, or fitness for a specific purpose. Users understand that our functionality depends on third-party APIs and cannot be guaranteed at all times.

To the fullest extent permitted by law, Automation Boutique B.V. is not liable for indirect, incidental, or consequential damages, including but not limited to data loss, business interruption, or missed financial activity.

19. Changes to Terms

We may revise these Terms to reflect updates in functionality, legal requirements, or operational improvements. Users will be notified of significant changes by email or platform announcement. Continued use of the Service implies acceptance of the revised Terms.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands. All disputes will be handled by the competent courts of Amsterdam, the Netherlands.
